Syncyn Terms & Conditions

1. Introduction

Welcome to Syncyn, a marketplace and social network for users and creatives in entertainment to connect, stay up to date, and book services. These Terms & Conditions ("Terms") constitute a binding legal agreement between you and Syncyn, governing your right to use the websites, applications, and other offerings from Syncyn (collectively, the "Syncyn Platform"). By accessing or using Syncyn, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you may not use our Services.

3. Definitions

  • "Users": Individuals who sign up on Syncyn to browse the platform and book limited services from Creators.
  • "Creators": Individuals who apply and are accepted to join Syncyn to offer their services, host a profile page, collect income, book services and make connections.
  • "Service Providers": Creators who publish and offer services.
  • "Clients": Creators or Users who search for, contract for, or use services.
  • "Service Offerings": Various services in the field of entertainment and audio-visual arts offered by Service Providers.
  • "Listing": Each Service Offering published by a Service Provider.

4. Account Registration and Security

4.1 Eligibility

You must be at least 13 years old to use Syncyn. By creating an account, you represent and warrant that you are at least 13 years old and possess the legal capacity to enter into these Terms. If you are under 18 years old, you may only use Syncyn with the consent and supervision of a parent or legal guardian.

4.2 Account Creation

Users can create an account by providing accurate and complete information. Creators must apply and be approved to join the platform.

4.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify Syncyn immediately of any unauthorized use of your account.

5. Privacy Policy

Our Privacy Policy governs the collection, use, and protection of your personal information. By using Syncyn, you consent to our data practices as described in the Privacy Policy. For California residents, Syncyn complies with the California Consumer Privacy Act (CCPA). You have the right to request access to your personal information, request deletion of your personal information, and opt-out of the sale of your personal information. 6. User Conduct

6.1 Prohibited Activites

You agree not to engage in the following prohibited activities:

  • Using Syncyn for any unlawful purpose or in violation of any local, state, national, or international law.
  • Harassing, threatening, demeaning, embarrassing, or otherwise harming any other user.
  • Uploading or transmitting any content that is obscene, defamatory, offensive, or infringes any third-party rights.
  • Distributing unsolicited or unauthorized advertising, spam, or promotional materials.

6.2 Content Standards

Any content you post on Syncyn must be accurate, lawful, and not misleading. Syncyn reserves the right to remove any content that violates these Terms.

7. Content Ownership and Rights

All content provided by Syncyn is owned by or licensed to Syncyn, except for user-generated content. By posting content on Syncyn, you grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, modify, distribute, and reproduce your content in connection with providing and promoting Syncyn.

8. Payments and Subscriptions

Certain features of Syncyn may require a subscription or payment of fees. By subscribing, you agree to our pricing and payment terms. All fees are non-refundable unless otherwise specified. We reserve the right to change our pricing at any time with notice to you.

9. Deposit and Payment Process

9.1 Deposit Requirement

Clients who engage Service Providers for services are required to pay a refundable 10% deposit based on the pre-quoted generic rate provided by the Service Provider. This deposit ensures that Service Providers are compensated for initial consultations and proposal preparations.

9.2 Notification and Agreement

Upon deposit submission, a notification is sent to the Service Provider, allowing for further communication and agreement. If a message is not responded to within 14 days or an agreement is not reached within 30 days, the deposit will be refunded to the Client.

9.3 Payment Application

Once an agreement is made, the 10% deposit will be applied to the overall project payment, which will be processed through the app. Syncyn will retain a fee ranging from 3-10% of the total project payment for facilitating the transaction.

9.4 Creator Interactions

This same process applies to interactions between Creators; however, the deposit process only applies if a Creator is reaching out to a Creator in a higher tier. All payments on Syncyn are subject to a 3-10% fee.

9.5 Refund Compliance

Refunds will be processed in compliance with applicable consumer protection laws, including California's regulations on refunds.

10. Role of Syncyn in Transactions

Syncyn acts solely as a facilitator for interactions between Service Providers and Clients. All contractual obligations and liabilities lie with the contracting parties. Syncyn is not a party to any agreements between Service Providers and Clients and disclaims all liability for the actions or omissions of either party. However, Syncyn will act as an intermediary and arbitrator in case of disputes, providing support to resolve issues to the best of our ability.

11. Creator Responsibilities

11.1 Awareness of Obligations

Syncyn does not assume responsibility for any potential contractual violations that a Creator may incur from joining Syncyn. It is assumed that Creators are fully aware of their legal obligations and any outside contracts they may have.

11.2 Legal Compliance

By joining Syncyn as a Creator, you acknowledge that Syncyn assumes no liability for any contractual violations or disputes that may arise from your use of the platform. You confirm that you have full knowledge of your outside legal obligations and that you have the legal right to use Syncyn. You agree that Syncyn is not responsible for ensuring that your use of the platform complies with any external agreements or legal requirements.

12. Limitation of Liability

To the maximum extent permitted by law, Syncyn is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied. Syncyn does not warrant that the services will be uninterrupted, secure, or error-free. Syncyn disclaims all liability for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use Syncyn; (ii) any conduct or content of any third party on Syncyn, including without limitation, any defamatory, offensive, or illegal conduct of other users or third parties; or (iii) unauthorized access, use, or alteration of your transmissions or content. This limitation of liability does not apply to liability for gross negligence, willful misconduct, or any other liabilities that cannot be excluded by law.

13. Termination

13.1 Termination by Syncyn

Syncyn reserves the right to terminate or suspend your account at its sole discretion, without prior notice or liability, for conduct that it believes violates these Terms or is otherwise harmful to Syncyn or other users.

13.2 Effect of Termination

Upon termination, your right to use Syncyn will immediately cease, and any data associated with your account may be deleted. Termination does not limit any other rights or remedies Syncyn may have by law or equity.

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California and U.S. Federal law.

14.2 Arbitration

Any disputes arising under these terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will take place in Delaware, USA.

14.3 Class Action Waiver

You agree to waive any right to participate in class action lawsuits to the extent permitted by law.

15. Changes to Terms

Syncyn reserves the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website. Your continued use of Syncyn after any such changes constitutes your acceptance of the new Terms.

17. Miscellaneous

17.1 Entire Agreement

These Terms constitute the entire agreement between you and Syncyn regarding your use of the Services.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue to be in full force and effect.

17.3 Waiver

No waiver of any term or condition of these Terms will be deemed a further or continuing waiver of such term or condition or any other term or condition.
